Terms of Use and End-User License Agreement

AstraLuna Hermes Integration

Effective Date: November 6, 2026

1. Purpose

These Terms of Use and End-User License Agreement ("Terms") govern authorized use of the AstraLuna Hermes Integration ("Integration"), an internal business application developed or configured for AstraLuna, LLC ("AstraLuna").

The Integration is intended to support authorized internal business reporting, analysis, and operational workflows.

It is not offered for general public use or commercial licensing.

2. Authorized Users

Access to the Integration is restricted to AstraLuna personnel, representatives, and service providers who have been authorized to use it.

Users must comply with applicable company policies, access restrictions, and security procedures.

Unauthorized access or use is prohibited.

3. Permitted Uses

Authorized users may use the Integration for legitimate AstraLuna business activities, including:

  • Reviewing financial and accounting information.

  • Preparing sales, profitability, and management reports.

  • Analyzing customer purchasing patterns and product performance.

  • Supporting sales forecasting and business planning.

  • Reviewing accounts receivable and payment status.

  • Performing other expressly authorized internal workflows.

4. QuickBooks Online Access

The Integration may connect to QuickBooks Online using Intuit-supported authentication and API services.

Users must have appropriate authorization to access the connected QuickBooks company.

The initial intended functionality is read-only financial reporting and analysis.

Any functionality that creates, modifies, deletes, or transmits accounting transactions must be separately authorized and subject to appropriate controls.

The Integration must not be used to circumvent QuickBooks permissions or applicable Intuit terms.

5. AI-Generated Information

The Integration may use AI-assisted systems to generate reports, summaries, forecasts, and recommendations.

Such outputs may contain errors, omissions, or estimates.

AI-generated information is provided for internal business decision support and should be reviewed by qualified personnel before being relied upon for accounting, tax, legal, regulatory, or significant financial decisions.

Estimated product costs and management profitability reports may differ from official accounting records.

6. Data Ownership and Confidentiality

Business records and information processed through the Integration remain subject to the ownership, confidentiality, and contractual rights applicable to their original sources.

Authorized users must protect confidential financial, commercial, customer, and vendor information.

Users may not disclose such information to unauthorized parties or use it for unrelated purposes.

7. Security and Access Controls

Users must follow applicable security requirements, including appropriate credential handling, authentication procedures, and access restrictions.

Users must not intentionally interfere with the Integration, attempt unauthorized access, or disable security controls.

AstraLuna may suspend or revoke access when necessary to protect its systems or information.

8. Third-Party Services

The Integration may depend on third-party products and services, including QuickBooks Online, hosting providers, integration software, and AI services.

Those services may be governed by separate terms, policies, and availability conditions.

AstraLuna does not control the operation or availability of all third-party systems.

9. No Warranty

To the extent permitted by applicable law, the Integration is provided for internal use on an "as available" basis.

AstraLuna does not guarantee uninterrupted operation, error-free outputs, or the accuracy of AI-generated analyses.

10. Limitation of Liability

To the extent permitted by applicable law, AstraLuna disclaims liability arising from unauthorized use of the Integration or reliance on unverified automated outputs.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

11. Modification and Termination

AstraLuna may modify, restrict, suspend, or discontinue the Integration or an authorized user's access at its discretion, subject to applicable legal and contractual obligations.

These Terms may be updated as the Integration's functionality or governing requirements change.

12. Governing Law

These Terms are governed by the applicable laws of the Commonwealth of Massachusetts, without regard to conflict-of-law principles, except where mandatory law requires otherwise.
